BY-LAWS OF THE CHESHIRE COUNTY REPUBLICAN COMMITTEE

ARTICLE I – COMPOSITION

 

A.  Membership:  The Cheshire County Republican Committee shall be composed of the number of members apportioned to it by the New Hampshire Republican State Convention.  The members of the County Committee shall be elected by the Party nominees and delegates from Cheshire County to the Republican State Convention.

B.  Duties:  The Cheshire County Republican Committee, in cooperation with the State Republican Committee, shall have the duty to manage the affairs of the Republican Party in Cheshire County, to direct the general policy and campaign activities of the Party organization, and to perform all duties required of it by law or custom.

C.  Meetings:  At least two regular meetings shall be held in each calendar year, one of these to be prior to Town Meeting.  If a meeting is not held as set forth above, it shall then be the duty of the State Chairperson to set the date and place for said meeting.  Additional meetings may be called on the initiative of the County chairperson or upon the written request of 25 percent of the members of the above committee.  Notice of all meetings shall be sent to each member, either by U.S. Mail or by electronic communication, at their last known address, at least seven (7) days before the day of the meeting.

ARTICLE II – GOVERNING BODY

 

A.  Officers:  The officers shall consist of a Chairperson, Assistant Chairperson, Finance Chairperson, Secretary, Treasurer and such Vice Chairpersons as the County Committee shall elect, one of whom shall serve as liaison to “Young Republicans”.  The Executive Committee shall consist of the above officers.  Officers shall be elected for a two-year term at the first meeting following the biennial election.  Officers of the Cheshire County Republican Committee who are members of the Executive Committee shall have voting rights on all county committee matters, whether or not they have been elected at a county caucus as members of the Cheshire County Republican Committee and the New Hampshire Republican State Committee.  This voting right shall not be extended to State Committee matters.

B.  Chairperson:  The Chairperson shall be the chief executive officer, and will preside at each meeting of the committee.  In the absence of the Chairperson, the Assistant Chairperson will preside.  In the absence of both the Chairperson and the Assistant Chairperson, the Secretary will preside.  The Chairperson will see that each town, ward, city or collection thereof, is organized in accordance with the time schedule set forth in these By-Laws and that the committee maintains complete records and an up-to-date roster of all Republican town, ward, city and collection thereof workers for the county.  The Chairperson will file an annual activities report with the State Chairperson.  The Chairperson shall not participate in the primary campaign of any candidate.  The Chairperson shall have authority for expenditure of funds up to $150.00 for expenses not enumerated in the operating budget; expenditures in excess of this amount shall require majority approval of the Executive Committee.

C.  Assistant Chairperson:  The Assistant Chairperson, under the direction of the Chairperson, shall assist the Chairperson in the performance of the duties of the office.  In the absence of the Chairperson, the Assistant Chairperson shall preside at meetings.  The Assistant Chairperson shall not participate in the primary campaign of any candidate.

D.  Vice Chairpersons:  The Vice Chairpersons shall work under and assist the Chairperson in such areas in the county as shall be assigned to them.

E.  Finance Chairperson:  The Finance Chairperson shall work with the Chairperson in realizing the financial needs of the committee.  The Finance Chairperson shall maintain liaison with the Republican State Finance Chairperson and shall assist with the programs.  An audit of all funds shall be conducted every 12 months and upon the time a new Treasurer takes office.  This audit shall be conducted by an individual chosen by the Chairperson with the approval of the Executive Committee.

F.  Treasurer:  The Treasurer shall receive all funds belonging to the County Committee, shall keep proper books of account of all funds received and paid out, and shall pay out funds as required.  The Treasurer shall render proper accounting to the committee at each meeting thereof and shall be fully accountable to the committee for all acts performed as customarily appertain to the office of Treasurer.  The Treasurer shall be bonded in an amount to be determined by the Cheshire County Republican Committee.

G.  Secretary:  The Secretary shall keep minutes of all proceedings of the County Committee, and shall keep and be custodian of the permanent books and records of the committee, except the financial records.  The Secretary may certify all votes, resolutions, and actions of the Cheshire County Republican Committee.  The Secretary shall give notice of the two regular meetings held in each calendar year pursuant to Article I Section C of the By-Laws.  In the absence of the Secretary, the Chairperson may appoint a Secretary pro tem.

H. Executive Committee:  The Executive Committee shall consist of the Chairperson, the Assistant Chairperson, the Immediate Past Chairperson and those officers chosen for the Executive Committee in accordance with Section A of Article II above.  The Executive Committee shall have the authority to act for the full County Committee when necessary.  Each town, ward or collection thereof shall have, not later than five days before the Republican State Convention, a town, ward or collection thereof organization of not less than five members.  If any town or ward shall not have such an organization by such time, then the Executive Committee shall have full power and authority to organize that town, ward or collection thereof.  The Executive Committee shall forward a complete list of town, ward or collection thereof committees under its control to Republican State headquarters not later than two days before the Republican State convention.  The Executive Committee shall establish such subcommittees as it feels necessary to aid in its work.

I.  Vacancies:  Vacancies under the office of Chairperson shall be filled on a temporary basis by the State Chairperson within thirty days of the dates the vacancies occur.  Such temporary officers shall serve until the next regular meeting of the committee when the vacancies shall be filled by election.  If vacancies are not filled within thirty days of the times they occur, the State Chairperson shall name temporary officers to serve until the next regular meeting when the vacancies shall be filled by election.  When there is a vacancy in the office of Chairperson, unless a temporary Chairperson is chosen by the County Committee within fifteen days of the creation of the vacancy, the State chairperson shall appoint a temporary County Chairperson who shall serve until the next regular meeting when the vacancy shall be filled by election.

ARTICLE III – GENERAL

 

Proposed amendments to these By-Laws and any Cheshire County Republican Committee Rules and Procedures may be submitted by any member in good standing.  Any proposed changes shall be submitted in writing to the Executive Committee at the February meeting only.  The Executive Committee shall form an ad hoc By-Laws Committee to review the proposed changes.  The By-Laws Committee’s report shall be submitted to and voted upon by the full County Committee no later than the June meeting provided written copies of the proposed change(s) shall have been given to the members of the County Committee in the notice of the meeting.
